Section V – Financial Performance Representations (Average Revenues and/or Profits) for the Window Genie Franchise (Item 19, 2023 FDD)

• This representation is a historic financial performance representation about a subset of the franchise system’s existing outlets’ past performance during the calendar year beginning on January 1, 2020 and ending on December 31, 2020 (the “2020 Reporting Period”), during the calendar year beginning on January 1, 2021 and ending on December 31, 2021 (the “2021 Reporting Period”), and during the calendar year beginning on January 1, 2022 and ending on December 31, 2022 (the “2022 Reporting Period”).

• Neither Window Genie nor its independent certified public accountants have audited or verified any of the sales figures reported to it. Franchisees are not required to use generally accepted accounting principles when reporting these figures.

• “Gross Sales” means the total revenues and receipts from whatever source (whether in the form of cash, credit, agreement to pay, barter, trade, or other consideration) that arise, directly or indirectly, from the operation of or in connection with a Window Genie business, whether under any of the Marks or otherwise.

• Gross Sales exclude sales taxes collected from customers and paid to the appropriate taxing authority and any other bona fide refunds, rebates, or discounts that the franchisor authorizes in writing. Gross Sales also exclude sales from any Excluded Services (as defined in a mutually executed Excluded Services Addendum).

• As of December 31, 2020, there were 125 Window Genie businesses in operation in the United States; as of December 31, 2021, there were 124 Window Genie businesses in operation in the United States; and as of December 31, 2022, there were 113 Window Genie businesses in operation in the United States, all of which were franchised businesses.

• Twenty-eight franchised businesses closed during the 2020 Reporting Period, 17 franchised businesses closed during the 2021 Reporting Period, and 24 franchised businesses closed during the 2022 Reporting Period. As these businesses were not in operation at the end of the applicable Reporting Period, their data is excluded from this Item 19. Of the franchised businesses that closed during the 2020 Reporting Period, the 2021 Reporting Period, and the 2022 Reporting Period, 1 business closed in 2020 after being open for less than 12 months.

• Parts 1 and 2 of this Item 19 include data from 114 businesses for the 2020 Reporting Period, 117 businesses for the 2021 Reporting Period, and 111 businesses for the 2022 Reporting Period (collectively, for purposes of Parts 1 and 2, the “Reporting Businesses”), which were all in operation and reporting sales during any part of the applicable Reporting Period and were in operation at the end of the applicable Reporting Period.
