- Full-Time Placement Fee for General Staffing Franchises: Spherion Staffing pays its Spherion General Staffing franchisees an 88% commission on (and it retains the 12% balance of) the Full-Time Placement Sales in each fiscal year.

- Spherion believes it will be helpful for a prospective franchisee to know the average Gross Profit Percentage, the average per Franchise Agreement Sales, and the average per Franchise Agreement Gross Profit of its franchises for Fiscal Year 2021. The first set of below charts presents that data for franchisees grouped by the number of years that they have been operating, followed by a chart that combines the information for all of the represented franchisees.
- As of the issuance date of the Disclosure Document, Spherion Staffing has two Spherion Professionals franchisees operating under the Franchise Agreement, both of which are included in the applicable charts. Accordingly, the following figures are for the Spherion General Staffing franchises (many of which have the right to provide Professional Services through the Professional Services Addendum) and Professional franchises for Fiscal Year 2021.

- The information for Sales and Gross Profits is on a per franchisee basis. That is, if a franchisee has more than one Franchise Agreement with Spherion, then the numbers achieved under each Franchise Agreement are combined. If a franchisee has more than one office under the same Franchise Agreement, these offices are aggregated to determine the Sales and Gross Profit numbers for that Franchise Agreement.
- The above charts exclude three existing franchisees as of December 31, 2021 because they were not open and operating for the entire 2021 calendar year.
- In FY 2021, 3 of the 9 (or 33.3%) franchisees with tenure of 1-5 years under contract surpassed the average Gross Profit Percentage stated above. Five of the 9 franchisees (or 55.6%) surpassed the average annual Sales stated above, and 4 of the 9 franchisees (or 44.4%) surpassed the average annual Gross Profit stated above. The two Professional franchises are included in this chart.
- In FY 2021, 3 of the 8 (or 37.5%) franchisees with tenure of 6-10 years under contract surpassed the average Gross Profit Percentage stated above. One of the 8 franchisees (or 12.5%) surpassed the average annual Sales stated above, and 2 of the 8 franchisees (or 25.0%) surpassed the average annual Gross Profit stated above.
- In FY 2021, 10 of the 39 (or 25.6%) franchisees with tenure of 10+ years under contract surpassed the average Gross Profit Percentage stated above. Eleven of the 39 franchisees (or 28.2%) surpassed the average annual Sales stated above, and 17 of the 39 franchisees (or 43.6%) surpassed the average annual Gross Profit stated above.
- In FY 2021, 15 of the 56 (or 26.8%) franchisees of at least 1 year tenure under contract surpassed the average Gross Profit Percentage stated above. Fourteen of the 56 franchisees (25%) surpassed the average annual Sales stated above, and 24 of the 56 franchisees (42.9%) surpassed the average annual Gross Profit stated above.
- The information in this Item 19 includes franchisees operating mature offices, and a number of franchisees who bought existing offices, either from the franchisor or from a franchisee, as opposed to starting a new office. The information is for all of the Spherion branded franchised operations. However, the information does not include any of the “Area-Based Franchise Agreement” program franchises, which operate under a fundamentally different relationship and agreement.
- Your results will likely differ from the results presented above, depending on your efforts and those of your staff, your particular market size and makeup, and the competition. Other factors that could impact your numbers include, but are not limited to, local, regional, national, and international general economic conditions, your business mix (temporary staffing vs. permanent placement, clerical vs. light industrial, and the amount of professional staffing you have, if you receive the right to offer professional staffing services), etc.
