Highlights of Nothing Bundt Cakes’ Item 19 Financial Performance Representations (2014 FDD) – Part 1
- This Item sets forth historical net revenue information for Nothing Bundt Cakes’ franchisee and affiliate-operated Bakeries which was provided to the franchisor by its franchised and affiliate-operated Bakeries.
- Specifically, Part I of Item 19 sets forth the net revenues of 2 Bakeries operated by Nothing Bundt Cakes’ affiliate Denbra, Inc. in Las Vegas, Nevada (the “Affiliate Bakeries”) for the calendar years January 1, 2012 through December 31, 2012 and January 1, 2013 through December 31, 2013 (the “Measurement Period”).
- Part II of this Item sets forth the net revenues of 40 franchisees who have been operating Bakeries for at least 24 months as of December 31, 2013, and provided Nothing Bundt Cakes with complete net revenue data for the Measurement Period (the “Reporting Franchisees”).
- Part III of this Item sets forth Average Net Revenues, average cost of goods sold, average gross margin, and average occupancy costs achieved by 37 of the 40 Reporting Franchisees from January 1, 2013 through December 31, 2013. Excluded from Part III are the results of 3 of the 40 Reporting Franchisees who failed to provide Nothing Bundt Cakes with complete financial statements during the 2013 calendar year.
- Part IV of this Item sets forth the Average Net Revenues achieved during the first and second full 12 months of business by all 19 Bakeries that opened during the 2011 calendar year and 4 Bakeries that opened during the 2012 calendar year and have been open a minimum of 24 months. Excluded from Part IV is net revenue information of 17 Bakeries that opened during the 2012 calendar year and have not been open a full 24 months as of the issuance date of the disclosure document.
- Nothing Bundt Cakes has not audited or independently verified the data submitted by the included Bakeries and no assurance can be offered that the data does not contain inaccuracies that an audit might disclose. Nothing Bundt Cakes will provide you with written substantiation for the financial performance representation upon reasonable request.
- The data presented in Part I, II, and III is for established Bakeries open and operating at least 24 months as of December 31, 2013, including two Bakeries operated by the company’s founders, and in Part IV, open and operating at least 24 months as of the issuance date of the disclosure document.
Explanatory Notes for Part I – Affiliate Bakeries’ Net Revenues and Growth in Annual Net Revenues During the Measurement Period
- The table below sets forth the Annual Net Revenues and the Percentage Growth in Annual Net Revenues achieved by the Affiliate Bakeries during the Measurement Period.
- “Net Revenues” includes all revenues generated from all business conducted at or from the Affiliate Bakeries during the Measurement Period, including amounts received from the sale, shipping, and delivery of food items, amounts received through the E-Commerce program and from gift card sales, and other products and services, merchandise, and tangible property of any nature whatsoever, whether in cash or for credit, and whether collected or uncollected.
- “Net Revenues” does not include the amount of any applicable sales tax imposed by any federal, state, municipal, or other governmental authority if such taxes are stated separately when the Guest is charged and franchisee pays such amounts as and when due to the appropriate taxing authority.
- Also excluded from Net Revenues are the amount of any documented refunds, chargebacks, credits, and allowances given to Guests in good faith pursuant to Nothing Bundt Cakes’ standard procedures for issuing such refunds.
- The “Growth in Annual Net Revenues” for the Affiliate Bakeries was calculated by taking the sum of the Annual Net Revenues for the Affiliate Bakeries during 2013, subtracting it from the sum of the Annual Net Revenues for the Affiliate Bakeries during 2012, and dividing that number by the sum of the Annual Net Revenues during 2012.
Explanatory Notes for Part II – Reporting Franchisees’ Average Net Revenues and Growth in Average Net Revenues During the Measurement Period
- The table below sets forth the Average Net Revenues and the Growth in Average Net Revenues achieved by the Reporting Franchisees during the Measurement Period.
- The “Average Net Revenues” for the Reporting Franchisees was calculated by taking the sum of the Reporting Franchisees’ Net Revenues and dividing it by the total number of Reporting Franchisees.
- In 2012, 22 of the 40 Reporting Franchisees had Net Revenues that were greater than the Average Net Revenues for that year. In 2013, 19 of the 40 Reporting Franchisees had Net Revenues that were greater than the Average Net Revenues for that year.
- The “Percentage Growth in Average Net Revenues” was calculated by taking the difference between the Average Net Revenues achieved by the Reporting Franchisees in 2013 and 2012, and dividing it by the Average Net Revenues achieved by the Reporting Franchisees in 2012.
- The Reporting Franchisees include 4 units owned and operated by Nothing Bundt Cakes’ President, Craig Moore.
